
Omnily.io Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Omnily.io website, platform, and related services (collectively, the “Services”). Omnily.io is a service provided by Omni Online Strategies (“Omnily,” “we,” “us,” “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.
Account Registration and Security
You may need an account to access certain features. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized use or security breach.
Subscriptions, Billing, and Payments
If you subscribe to a paid plan, you agree to pay all fees associated with your plan, including recurring charges, taxes, and applicable processing fees. Fees are non-refundable except as required by law or as expressly stated by us in writing. We may change pricing or plan features from time to time. If we do, we will post the updated pricing and, where required, provide notice before changes take effect for your next billing cycle.
Acceptable Use
You agree not to misuse the Services. You may not:
Use the Services for unlawful, fraudulent, deceptive, or harmful activity
Send spam or unsolicited communications
Use purchased, scraped, or third-party contact lists in violation of applicable laws or platform rules
Infringe intellectual property rights or privacy rights
Upload malicious code or attempt to disrupt the Services
Attempt to access systems, data, or accounts you are not authorized to access
Reverse engineer, copy, or resell the Services except as explicitly permitted by us in writing
We may suspend or terminate access if we believe you violated these Terms.
SMS Messaging Terms
Omnily may offer SMS features for demo coordination, reminders, onboarding, and support communications, and may also offer marketing or promotional SMS only where you separately opt in.
Phone number is optional. Entering a phone number does not by itself grant permission to send SMS.
SMS is sent only to users who explicitly opt in through an unchecked consent checkbox.
Where marketing SMS is offered, it requires separate opt-in from transactional or informational messages.
Message frequency varies. Message and data rates may apply.
You can opt out at any time by replying STOP. You can request assistance by replying HELP.
You agree not to use the Services to send messages that violate carrier requirements, applicable law, or third-party policies.
If you enable SMS features, you represent that you will obtain and maintain valid consent as required by applicable laws and carrier rules, and you are responsible for the content and timing of messages you send.
Third-Party Services and Integrations
The Services may integrate with third-party services (for example, messaging providers, email providers, CRM tools, or payment processors). Third-party services are not controlled by Omnily. Your use of third-party services is subject to their terms and policies, and Omnily is not responsible for third-party services, outages, changes, decisions, or fees.
Carrier and Third-Party Provider Disclaimer
SMS delivery, call connectivity, and messaging approval (including A2P 10DLC and any similar registration or verification) are controlled by third-party providers and mobile carriers. Omnily.io does not own, operate, or control carrier networks or their policies. Carrier filtering, blocking, throttling, and approval decisions may change at any time and may occur without notice.
We do not guarantee message delivery, deliverability rates, approval outcomes, throughput, routing, or timing for SMS or voice. You acknowledge that service interruptions, delays, rejections, suspensions, or restrictions may occur due to carrier rules, provider policies, compliance reviews, content classification, complaint rates, or other factors outside our control.
To the maximum extent permitted by law, Omnily.io is not liable for any losses, damages, costs, chargebacks, lost revenue, lost opportunities, or other impacts arising from or related to carrier or third-party provider decisions, including denied registrations, reduced throughput, filtering, blocked messages, or account restrictions.
Data and User Content
You may input, upload, or store data through the Services (“User Content”). You retain ownership of your User Content. You grant Omnily a limited, non-exclusive license to host, process, transmit, and display User Content solely to provide and improve the Services.
You are responsible for ensuring you have all rights and permissions to submit User Content, including any personal data of your contacts, customers, or users.
Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use information.
Intellectual Property
The Services, including software, design, text, graphics, logos, and underlying technology, are owned by Omnily or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works of the Services except as expressly allowed in writing.
Service Availability and Changes
We may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability. We are not liable for downtime, delays, or interruptions.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee specific results, including deliverability, inbox placement, carrier approval, or performance outcomes, as these may depend on third-party systems and factors outside our control.
Limitation of Liability
To the maximum extent permitted by law, Omnily and its affiliates, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
To the maximum extent permitted by law, Omnily’s total liability for any claim related to the Services will not exceed the amount you paid to Omnily for the Services in the three months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Omnily and its affiliates, officers, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your communications, or your violation of these Terms or applicable law.
Termination
You may stop using the Services at any time. We may suspend or terminate your access at any time if we believe you violated these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends. Certain sections will survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions.
Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of those courts.
Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms and update the Effective Date above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
