These Terms of Use ("Terms") govern your access to Omnily.io software/app and use of the services provided by ILTN Holdings LLC D.B.A Omni Online Strategies ("Omnily"), including any updates, enhancements, new features, and/or the addition of any new web properties (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration and Payment Method

1.1. To use the Service, you must create an account and provide a valid payment method. Your payment method will be used for purchases made within the Service.

1.2. You agree to maintain the security of your account and payment information. You are solely responsible for any unauthorized use of your account or payment method.

2. Service Plans and Pricing

2.1. Omni.ly offers different service plans, each with its own features and pricing. The available plans and their respective features are subject to change at the discretion of Omni.ly. For your convenience, Omnily may also update the plans and their respective features in this page:

2.2. To access certain features such as email, SMS sending, calls, and other paid services, you are required to maintain a minimum balance of $10. If your balance drops below $10, Omni.ly reserves the right to charge your card $10 to keep it above the minimum. This balance remains available for your use.

3. Use of Service and Payment

3.1. The Service allows the use of communication and creative methods such as sending emails, SMS, using AI tools, hosting services, etc. The use of paid services or products will be charged to your credit card or payment method.

4. Modifications to Service and Terms

4.1. Omni.ly reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time without prior notice.

4.2. We may also update or modify these Terms from time to time. Any changes will be effective immediately upon posting the revised Terms on the Omni.ly website. Your continued use of the Service after the posting of any revised Terms constitutes your acceptance of such changes.

5. User Conduct

5.1. You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any data, text, information, or other materials that you upload, post, or otherwise transmit through the Service.

5.2. Additionally, you agree to comply with all regulations and rules governing the sending of emails and SMS, distinctively in each country and region where you operate or where the people you communicate with are located. This includes, but is not limited to, the following laws and codes:

6. Account Suspension and Termination

6.1. Omni.ly reserves the right to suspend or terminate your account and access to the Service at any time and for any reason, without prior notice.

7. Intellectual Property

7.1. All content and materials available through the Service are the property of Omni.ly or its licensors and are protected by copyright, trademark, and other intellectual property laws.


8. Privacy Policy

8.1. By using the Service, you agree to be bound by Omni.ly's Privacy Policy, which outlines how we collect, use, disclose, and protect your personal information. You acknowledge that you have read and understood the Privacy Policy and consent to the processing of your personal data in accordance with its terms.

9. Disclaimer of Warranties

9.1. The Service is provided on an "as-is" and "as-available" basis, without any warranties of any kind, either express or implied. Omni.ly disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

10.1. In no event shall Omnily be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost data, arising out of or in connection with the use of the Service.

10.2 You acknowledge and agree that Omnily is not responsible for how you use the software. If you encounter legal issues or disputes with individuals or entities resulting from your use of the Service, it is your sole responsibility to resolve them. Omni.ly shall not be liable for any damages, losses, or liabilities arising from your use of the Service.

11. Governing Law and Jurisdiction

11.1. These Terms shall be governed by and construed in accordance with the laws of The State of Florida USA. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in The State of Florida.
